Legal Counsel and Company Secretary

Government & Defence

  • Newly created role with a diverse portfolio
  • Partner with the Board and Executive to provide expert advice
  • Lead and embed best-practice governance during a period of transformation

The Port of Hastings is a strategically significant Victorian asset, uniquely positioned to support future economic growth. Its competitive advantages include extensive zoned land adjacent to existing port infrastructure, naturally deep-water access, and proximity to major offshore wind developments along the Gippsland coast. With a proposal for Australia’s largest offshore wind project currently under consideration, the Port is entering a pivotal phase of growth, transformation, and long-term investment. Strengthening governance and legal frameworks is central to enabling this next stage of delivery.

Reporting to the Chief Financial Officer, the Legal Counsel and Company Secretary plays a critical role in supporting the effective operation of Port of Hastings through the provision of high-quality governance and legal expertise. The role partners closely with the Board, CEO and Senior Management Team to provide strategic legal advice, enable informed decision-making, and proactively manage legal and compliance risks across operations and projects. Your leadership will set the tone for collaboration, integrity and high performance, helping the organisation navigate complex or sensitive matters with professionalism and clarity. It also leads the ongoing development of governance frameworks, oversees Board and corporate processes, and ensures robust, transparent and fit-for-purpose systems that support organisational performance.

The ideal candidate is a values-led, commercially astute legal professional with deep expertise in corporate governance and company secretarial practice, ideally gained within the Victorian public sector or a government-owned entity. You bring significant experience with a strong track record advising Boards and senior executives, ideally within construction or infrastructure environments. You are known for your sound judgement and ability to navigate complex, sensitive and high-risk matters, alongside demonstrated capability in managing legal, regulatory and governance risk. A credible and influential communicator, you build strong relationships with a broad range of stakeholders, including regulators and external advisors. Your strengths in strategic thinking, analysis and drafting are complemented by a commitment to integrity, continuous improvement and high-quality governance outcomes.
