This global manufacturing organisation is entering a significant phase of growth and transformation, underpinned by major capital investment programs and continued international expansion.
Reporting directly to the Chief Executive Officer, you will lead the legal, company secretarial and enterprise risk functions across the group, ensuring the organisation operates with the governance, discipline and compliance expected of a listed environment.
The organisation is scaling rapidly, with increasing complexity driven by international operations, capital activity and evolving regulatory requirements. There is a clear mandate for a General Counsel & Company Secretary who can embed robust governance, risk and compliance frameworks to support this growth.
You will act as a trusted adviser to the CEO, Board and Committees, supporting strategic initiatives including capital raising, M&A and international expansion, while ensuring alignment with ASX Listing Rules, Corporations Act requirements and governance frameworks consistent with listed market expectations.
You will oversee governance, legal and risk across the organisation, including continuous disclosure processes, Board and Committee operations, and enterprise risk frameworks, with a focus on embedding disciplined, scalable structures.
Working closely with executive stakeholders, you will support regulatory approvals, operational compliance and risk mitigation across global operations, while overseeing complex legal and contractual matters and managing external legal providers.
About You
You are an accomplished General Counsel and Company Secretary, with a track record in a listed environment and a clear understanding of the expectations that come with it.
You bring deep expertise across ASX Listing Rules, Corporations Act requirements and continuous disclosure obligations, with a strong track record advising Boards and Audit & Risk Committees. You are confident navigating complex regulatory environments and providing clear, commercially focused advice at the highest levels.
You have demonstrated experience leading legal, governance and risk functions through periods of growth, transformation or increasing complexity, including exposure to capital markets activity such as IPO readiness, capital raisings or M&A.
Your background is ideally drawn from capital-intensive or highly regulated sectors such as manufacturing, defence, infrastructure, energy or mining, where you have operated across complex, multi-jurisdiction environments.
You are a credible and influential leader with strong executive presence, capable of building trust with the CEO, Board and senior stakeholders. You bring sound judgement, resilience and the ability to balance strategic thinking with pragmatic execution in a fast-paced environment.
